Executive Compensation Program Elements
The key elements of the Companys executive compensation program for its NEOs are:
base salary;
annual performance awards under the Companys Annual Incentive Plan;
long-term performance awards under the Companys Long Term Plan;
awards of stock options, restricted stock and performance-based equities under the Companys Stock Incentive Plan (the Stock Plan); and
certain employee benefits, perquisites and post-employment benefits.
