STOCKHOLDER PROPOSALS FOR 2008 ANNUAL MEETING
Under SEC Rule 14a-8 as currently in effect, any holder of at least $2,000 in market value of our common stock who has held such securities for at least one year and who desires to have a proposal presented in the Companys proxy material for use in connection with the 2008 annual meeting of stockholders must transmit that proposal (along with his name, address, the number of shares of common stock that he holds of record or beneficially, the dates upon which the securities were acquired, documentary support for a claim of beneficial ownership and a statement of willingness to hold such common stock through the date of the 2008 meeting) in writing not later than December 6, 2007. Under the Companys Amended and Restated By-Laws, notice of any other stockholder proposal to be made at the 2008 annual meeting of stockholders must be received not less than 60 days nor more than 90 days prior to the one-year anniversary of the 2007 annual meeting. All proposals of stockholders intended to be presented at the next annual meeting must be sent to the Corporate Secretary, AMERIGROUP Corporation, 4425 Corporation Lane, Virginia Beach, VA 23462. In order for a stockholder proposal submitted outside of Rule 14a-8 to be considered timely within the meaning of Rule 14a-4(c), such proposal must be received by the Company on or prior to March 11, 2008.
