Compensation shall mean, for any Plan Year, the Participant’s annualized Base Salary rate as in effect on November 15 preceding the beginning of the Plan Year.  Notwithstanding the foregoing, the Plan Administrator, in its sole discretion, may specify a date or dates other than November 15 on which a Participant’s annualized Base Salary rate for a Plan Year is to be determined.  For any Participant employed by a Participating Company whose compensation structure does not readily fit this definition, “Compensation” shall mean cash compensation as defined by the Plan Administrator.
