Conversion of Stock Units into Dollars.  For purposes of converting some or all of a Participant’s Stock Units into a dollar amount in valuing the Participant’s Accounts as of any Valuation Date, the value of each Stock Unit shall be equal to the average of the high and low sales prices of one share of Company Stock on the New York Stock Exchange for the last Business Day of each of the three (3) months of the calendar quarter most recently completed on or prior to such Valuation Date.
