The three
persons listed above have been nominated by the Board. Mr. Yamamura
and Mr. Christiansen are nominated for re-election to the Board. Mr. Itoh served
on the Board from 1990 until July of 2007. He was appointed by the Board in
February 2008 to fill the vacancy created by the death of Mr. Masahiro Umemura
and is nominated herein for election to the Board. Unless contrary
instructions are given, it is intended that the votes represented by the proxies
will be cast FOR the election of the persons listed above as
directors. In the event that any of the nominees should become
unavailable to stand for election, the Board may designate a
substitute. It is intended that all properly executed and returned
proxies will be voted FOR such substitute nominee.
