SARs. Freestanding SARs shall be exercisable at such time
or times, or upon such event or events, and subject to such terms, conditions,
performance criteria and restrictions as shall be determined by the Committee
and set forth in the Award Agreement evidencing such SAR; provided, however,
that no Freestanding SAR shall be exercisable after the expiration of ten (10) years
after the effective date of grant of such SAR. No SAR shall become fully vested
in a period of less than three (3) years from the date of grant, other than in
connection with a termination of Service or a Change in Control or in the case
of an SAR granted to a Nonemployee Director.
