SIZE="2">Section 16(a) of the Exchange Act requires our directors, executive officers and persons who own more than 10% of our common stock (collectively, “Reporting Persons”) to file reports of ownership and changes in ownership of
our common stock. Reporting Persons are required by Securities and Exchange Commission regulations to furnish us with copies of all Section 16(a) reports they file. Based solely on our review of the copies of such reports received or written
representations from the Reporting Persons, we believe that during the fiscal year ended December 31, 2008, all Reporting Persons complied with these filing requirements on a timely basis.

We have adopted a code of ethics
entitled “Abraxis BioScience, Inc. Code of Business Conduct” which applies to all of our employees, officers and directors, including our principal executive officer, principal financial officer, principal accounting officer and all
persons performing similar functions. In addition, all employees at a vice president level or above certify compliance with the Code of Business Conduct on an annual basis. Our Code of Business Conduct was filed as an exhibit to our Annual Report on
Form 10-K for the year ended December 31, 2007. Our Code of Business Conduct may also be viewed at our website at http://www.abraxisbio.com. The information contained on our website is not intended to be, nor shall it be incorporated by
reference into, this filing.

The Audit Committee has reviewed and approved policies and procedures for (a) the receipt, retention and
treatment of complaints received by us regarding accounting, internal accounting controls or auditing matters, and (b) the confidential and anonymous submission by our employees, of concerns regarding questionable accounting or auditing
matters. These procedures are described in our Code of Business Conduct under the heading “Reporting Procedures and Other Inquiries.”
