FIRST RENEWAL LICENSE AGREEMENT FOR
THE NINTENDO GAMECUBE SYSTEM (EEA)

THIS LICENSE AGREEMENT (“Agreement”) is entered into between NINTENDO CO., LTD. (“NCL”) at 11-1 Kamitoba Hokotate-cho, Minami-ku, Kyoto, Japan 601-8501 (Fax:  81.75.662.9619), Attn: General Manager, International Business Administrative Department; and ACTIVISION, INC., a corporation of Delaware, and its subsidiaries (Activision Publishing, Inc., a corporation of Delaware, Activision UK, Ltd., a limited company of the United Kingdom; ATVI France, S.A.S., a corporation of France; Activision GmbH, a corporation of Germany, and Activision Pty., Ltd., a limited company of Australia) (jointly and severally “LICENSEE”) at 3100 Ocean Park Blvd., Santa Monica, CA 90405, Attn: Mr. George Rose (Fax: 310.255.2152).  NCL and LICENSEE agree as follows:
