Effectiveness; Enforceability.   This Guaranty Agreement shall be effective as of the date hereof and shall continue in full force and effect until the Stated Termination Date and payment in full of the Obligations. This Guaranty Agreement shall be binding upon and inure to the benefit of the Guarantors, the Guaranteed Parties and their respective successors and assigns. Notwithstanding the foregoing, no Guarantor shall, without the prior written consent of the Agent, assign any rights, powers, duties or obligations hereunder. Any claim or claims that the Secured Parties may at any time hereafter have against the Guarantors or any of them under this Guaranty Agreement may be asserted by any Secured Party by written notice directed to the Guarantors.
