Lock-up Agreements. The “lock-up” agreements, each substantially in the form of Annex D hereto, between you and the Company’s executive officers and directors, Fortress, and the affiliates of Fortress and funds managed by affiliates of Fortress identified on Schedule 4 hereto relating to sales and certain other dispositions of the common shares of the Company or certain other securities, delivered to you on or before the date hereof, shall be in full force and effect on the Closing Date.
