(e)           Qualifying Capital Securities.

“Scheduled Maturity” means May 15, 2037.

“Sixth Supplemental Indenture” means the Sixth Supplemental Indenture, dated as of May 10, 2007, between the Corporation and U.S. Bank National Association, as trustee.

“Subsidiary” means, at any time, any Person the shares of stock or other ownership interests of which having ordinary voting power to elect a majority of the board of directors or other managers of such Person are at the time owned, or the management or policies of which are otherwise at the time controlled, directly or indirectly through one or more intermediaries (including other Subsidiaries) or both, by another Person.

“Termination Date” has the meaning specified in Section 4(a).
