This excerpt taken from the AMZN 8-K filed Sep 18, 2007. 2.15.1 Appointment In advance of any meeting of stockholders after this corporation has become a Public Company (as defined below), the Board shall appoint one or more persons to act as inspectors of election at such meeting and to make a written report thereof. The Board may designate one or more persons to serve as alternate inspectors to serve in place of any inspector who is unable or fails to act. If no inspector or alternate is able to act at a meeting of stockholders, the chairman of such meeting shall appoint one or more persons to act as inspector of elections at such meeting. This corporation shall be a Public Company upon the earliest of (a) a vote by the Board of Directors of the corporation designating the corporation a Public Company, (b) when a registration statement filed by the corporation under the Securities Act of 1933, as amended, in connection with an offering of the corporations securities to the public first becomes effective or (c) upon the effective date of the registration of the corporations securities pursuant to Section 12 of the Securities Exchange Act of 1934, as amended. |
