AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.

On September 12, 2007, the Company’s Board of Directors amended the Company’s Bylaws effective as of such date. The primary amendments revise the Bylaws’ provisions regarding (a) the ability to issue uncertificated shares; (b) the procedure for setting the number of directors; and (c) the timing and manner of notice of Board meetings and waivers of notice of Board meetings. The Company’s Amended and Restated Bylaws are attached as Exhibit 3.1 and the foregoing description is qualified by reference to the actual text of the amendments.
