Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective February 22, 2006, in connection with the expiration of his term as a Director of UGI Corporation, Mr. Thomas F. Donovan retired from the Board of Directors of AmeriGas Propane, Inc., the general partner of AmeriGas Partners, L.P. (the "General Partner"). UGI Corporation is the parent company of the General Partner. At the time of Mr. Donovan's retirement, he served on the Compensation/Pension Committee of the General Partner's Board of Directors.

On February 22, 2006, Dr. Stephen D. Ban was elected to the Board of Directors of the General Partner. Dr. Ban was also appointed to serve on the Compensation/Pension Committee of the Board of Directors.

Dr. Ban is the Director of the Technology Transfer Division of the Argonne National Laboratory (science-based Department of Energy laboratory dedicated to advancing the frontiers of science in energy, environment, biosciences and materials). Dr. Ban previously served as President and Chief Executive Officer of the Gas Research Institute (gas industry research and development funded by distributors, transporters, and producers of natural gas). He also serves as a Director of UGI Corporation, UGI Utilities, Inc. and Energen Corporation. UGI Corporation is the parent company of the General Partner and UGI Utilities, Inc.
