American Apparel Inc., formerly known as Endeavor Acquisition Corp., is a blank check company, whose objective is to acquire an operating business. The Company was established to effect a merger, capital stock exchange, asset acquisition or other similar business combination with an operating business. The Company’s efforts in identifying a prospective target business will not be limited to a particular industry although it intends to initially focus on businesses in the business services, marketing services, consumer services, healthcare services and distribution services segments. American Apparel Inc. is not engaged in, and it will not engage in, any substantive commercial business until the Company consummate a business combination. On December 12, 2007, Endeavor Acquisition Corp.’s stockholders approved its acquisition of American Apparel Inc., prompting the Company to change its name to American Apparel Inc.
