Charter.   The Committee’s role is to work with executive management in developing a compensation philosophy; to evaluate and approve compensation for the Chief Executive Officer (the “CEO”), executive officers, and key executives; and to oversee the Company’s employee equity compensation plan and employee stock purchase plan.
