The Boards mission is to maximize long-term stockholder value. The business and affairs of the Company are managed under the direction of the Board of Directors, which is the ultimate decision-making body of the Company except with respect to those matters reserved to the shareholders. The Board establishes overall corporate policies, selects and evaluates the Companys senior management team, which is charged with the conduct of the Companys business, and acts as an advisor and counselor to senior management. The Board also reviews the Companys business strategy and the performance of management in executing the Companys business strategy and managing the Companys day-to-day operations.
