In default the retiring Director shall be deemed to have been re-elected except in any of the following cases:

(ii) where such Director has given notice in writing to the Company that he is unwilling to be re-elected;
(iii) where the default is due to the moving of a resolution in contravention of the next following Article 103;
(iv) where such Director has attained any retiring age applicable to him as Director.
The retirement shall not have effect until the conclusion of the meeting except where a resolution is passed to elect some other person in the place of the retiring Director or a resolution for his re-election is put to the meeting and lost and accordingly a retiring Director who is re-elected or deemed to have been re-elected will continue in office without a break.
