Adjournments
So far as
is known, no matters other than those described herein are expected to come
before the 2009 Annual Meeting of Stockholders. It is intended, however, that
the proxies solicited hereby will be voted on any other matters which may
properly come before the meeting, or any adjournment or postponement thereof, in
the discretion of the person or persons voting such proxies unless the
stockholder has indicated on the Proxy Card that the shares represented thereby
are not to be voted on such other matters. Adjournments may be made for the
purpose of, among other things, soliciting additional proxies. Any adjournment
may be made from time to time by approval of the holders of a majority of the
shares present in person or by proxy at the Annual Meeting (whether or not a
quorum exists) without further notice other than by an announcement made at the
Annual Meeting. If the Annual Meeting is adjourned or postponed for any reason,
all proxies will be voted at the reconvened Annual Meeting in the same manner as
such proxies would have been voted at the original convening of the Annual
Meeting (except for proxies that have, at that time, effectively been revoked or
withdrawn). The Company does not currently intend to seek an adjournment of the
Annual Meeting.
