This excerpt taken from the BSMD DEF 14A filed Apr 11, 2007. Retainers,
Meeting Fees and Reimbursement of Expenses. For
service on the board, each of our non-employee directors receives a
quarterly retainer of $3,000, plus $1,000 for each board meeting attended,
either in person or telephonically. Each committee member receives $1,000 per
committee meeting with the exception of the members of the audit committee who
each receive $1,500 per meeting. Additionally, each committee chairman receives
an annual retainer equal to $8,000, in the case of the chair of the audit
committee, and $2,500, in the case of the chair of each of the compensation
committee, nominating and corporate governance committee and science and
technology committee. Each of our non-employee directors is also
reimbursed for reasonable out-of-pocket expenses incurred in
attending meetings of our board of directors. Retainers and meeting fees are
not paid to directors who are our officers or employees.
