and (x) matters occurring other than in the ordinary course
of business, if, in the judgment of the Chair of the Committee with
the concurrence of either the Chairman of the Board or the chair of any other
standing committee of the Board, exigent circumstances exist which make it
impracticable of impossible to convene a meeting of the Board of
Directors. The Committee may form and delegate authority to a
subcommittee consisting of two or more members. A subcommittee shall
report any action to the full Committee at its next meeting. Subject
to the approval of the Board of Directors, the Executive Committee shall adopt
and from time to time assess and revise a written charter which will specify how
the Committee will carry out its responsibilities and such other matters as the
Board determines are necessary and desirable.
