SERVICES

Commencing on the Effective Date, Infocrossing shall provide CSG with the Services. Infocrossing shall perform the Services in accordance with Performance Standards. Infocrossing shall provide the Services through the System, and linked by telecommunications facilities provided by CSG to the CSG Locations.


SERVICES

Commencing on the Migration Date, Infocrossing shall provide CSG with the Services. Infocrossing shall perform the Services in accordance with the Performance Standards. Infocrossing shall provide the Services through the System which shall be linked by telecommunications facilities provided by CSG to the CSG Locations.

SERVICES

2.1 Computer Processing Services. Infocrossing shall provide Customer with the Services as set forth in one or more work orders mutually agreed to and signed by the parties from time to time and specifically referencing this Agreement (“Work Order”). All Work Orders must be signed by an authorized representative of each party. Each Work Order shall be governed by and subject to the terms and conditions of this Agreement.

2.2 Migration. 2.3 Training. During and after the Migration Period, Infocrossing shall provide such instruction and training at the Infocrossing Center and Customer’s Locations as may be reasonably required and mutually agreed to between the parties to enable Customer to utilize the Infocrossing Provided Hardware or Software installed at the Infocrossing Center or the Customer Locations; provided that Customer shall pay all pre-approved fees and expenses of Infocrossing incurred in connection with any training at Customer’s Locations.

(ii) Customer has provided Infocrossing with its written authorization to perform and agreement to pay (at mutually agreed upon rates) for such Transfer Assistance Services. (c) If any Work Order is terminated by Infocrossing as a result of an Event of Default by Customer, Infocrossing will not be obligated to provide any Transfer Assistance Services, unless Customer has first paid Infocrossing a mutually agreed upon estimate of the costs of such Transfer Assistance Services.

2.5 Additional Services. (a) During the term of a Work Order, Customer may request that Infocrossing perform Additional Services. Upon request by Customer that an Additional Service be performed, Infocrossing shall inform Customer whether Infocrossing desires to perform such Additional Service and, if so, Infocrossing shall provide Customer with a written description of the work Infocrossing anticipates performing in connection with such Additional Service, the cost for that Additional Service, and a schedule for commencing and completing the Additional Service. In the event the parties agree that Infocrossing will perform the Additional Service, the parties will, on terms and conditions mutually agreed to between them, execute a Work Order (or an amendment or change request to an existing Work Order) for the performance of the Additional Service. Infocrossing will have no obligation to begin performing the Additional Service until such Work Order or amendment has been executed by both parties. In the event that Customer informs Infocrossing of a local law expanding the definition of PII and Infocrossing’s obligations as defined under Article 8, such obligations will be treated as Additional Services under this Section. To the extent Infocrossing is required to meet similar requirements for other customers, the fees charged to Customer for such services shall be equitably apportioned.

(b) This Agreement is a non-exclusive Agreement. SERVICES

3.1 Recurring Services. Pursuant to the terms and conditions of this Agreement, and for the fees set forth in Schedule F, CSG agrees to provide Customer, at Customer’s request, the Recurring Services set forth in Schedule C in accordance with the service level agreements and other performance standards attached hereto in Schedule L.

3.2 Technical Services. Pursuant to the terms and conditions of this Agreement, upon request of Customer from time-to-time, CSG shall provide certain consulting, implementation, development, conversion and/or integration services (“Technical Services”) as set forth in Schedule E.

3.3 Location and Access. CSG may perform the Technical Services at Customer’s premises, CSG’s premises or such other premises that Customer and CSG may deem appropriate. CSG hereby agrees to abide by the Partner Connection Requirements set forth in Schedule N and incorporated herein by this reference. Customer will permit CSG to have reasonable access to Customer’s premises, personnel and computer equipment for the purposes of performing the Technical Services and implementation and/or conversion services at Customer’s premises.

Services

 

1. Services. Pursuant to the terms and conditions of the Agreement (including, but not limited to, the attached Exhibits), CSG agrees to provide to Customer, and Customer agrees to purchase from CSG, the Services set forth below, at the System Sites.

 

2. Reliance on Information. In providing any Services, CSG shall be entitled to rely upon and act in accordance with any instructions, guidelines, data or information provided to CSG by Customer, which Customer designates in writing to CSG to provide such instructions, guidelines or information, and shall incur no liability in doing so. Customer shall indemnify, defend and hold CSG, its third party vendors, directors, officers and employees harmless from any and all third party claims, losses, actions, suits, proceedings or judgments, including, without limitation, costs and reasonable attorneys’ fees, incurred by or assessed against such parties resulting, in whole or in part from (i) except for CSG’s gross negligence or unlawful misconduct, any action or failure to act by CSG in reliance on any instruction, approval, election, decision, action, inaction, omission or nonperformance by Customer, its officers, directors, shareholders, employees and agents relating to the Services, or (ii) any information or data provided to CSG by Customer in connection with the Services.
