This excerpt taken from the CVS 8-K filed Aug 15, 2006. Attributable Debt means, in connection with any sale and leaseback transaction under which either the Company or any Restricted Subsidiary is at the time liable as lessee for a
term of more than 12 months and at any date as of which the amount thereof is to be determined, the lesser of (A) total net obligations of the lessee for rental payments during the remaining term of the lease discounted from the respective due dates
thereof to such determination date at a rate per annum equivalent to the greater of (i) the weighted average Yield to Maturity of the Debt Securities outstanding on such determination date, such average being weighted by the principal amount of each
series of Debt Securities then outstanding and (ii) the interest rate inherent in such lease (as determined in good faith by the Company), both to be compounded semi-annually or (B) the sale price for the assets so sold and leased multiplied by a
fraction the numerator of which is the remaining portion of the base term of the lease included in such transaction and the denominator or which is the base term of the lease.
