  Re: Five Year Credit Agreement, dated as of May 12, 2006, by and among CVS Corporation, the Lenders party thereto, the co-syndication agents named therein, the documentation agent named therein, and The Bank of New York, as Administrative Agent (as amended, supplemented or otherwise modified from time to time, the “Credit Agreement”)

Capitalized terms used herein that are not otherwise defined herein shall have the respective meanings ascribed thereto in the Credit Agreement.

Pursuant to Section 2.8(b) of the Credit Agreement, the Borrower hereby gives notice of its request for the issuance by the Issuer of a Letter of Credit for the account of the Borrower and for the benefit of ____________________ on _______________ in connection with ___________________ in the maximum amount of $            . A drawing may be made under such Letter of Credit under the following conditions: _______________________________________.

The Borrower hereby certifies that on the above requested date of issuance of such Letter of Credit, and after giving effect to the issuance of such Letter of Credit:
