On December 23, 2008, the Board of Directors of CVS Caremark Corporation (the “Company”) approved a change in the Company’s fiscal year end from the Saturday nearest December 31 of each year to December 31 of each year. Company management previously discussed during quarterly earnings announcements the desire to make this change, which was subject to Board approval, to better reflect the Company’s position in the healthcare, rather than retail, industry.

The fiscal year change is effective beginning with the Company’s 2008 fiscal year, which will now end on December 31, 2008. The Company’s Form 10-K for fiscal 2008 will cover the period from December 30, 2007 to December 31, 2008. Prior to Board approval of this change, the Saturday nearest December 31, 2008 would have resulted in a 53-week fiscal year that would have ended January 3, 2009. The Company’s Form 10-Q for the first quarter of 2009 will now cover the period from January 1, 2009 to March 31, 2009.

On April 4, 2008, CVS Caremark Corporation (“CVS Caremark”) announced that Chris W. Bodine, Executive Vice President and President – CVS Caremark Health Care Services, has made the decision, for personal reasons, to scale back his day-to-day responsibilities and will begin transition to retirement in 2009. In connection with the planned transition, Mr. Bodine is assuming a new position as Special Advisor to the Chief Executive Officer of CVS Caremark. On March 5, 2008, David M. Denton, formerly Senior Vice President – Financial Administration of CVS Caremark Corporation (“CVS Caremark”), became CVS Caremark’s Senior Vice President, Controller and Chief Accounting Officer. In connection with the appointment to his new position, Mr. Denton’s annual salary has been increased to $350,000, his 2008 target annual cash incentive award has been set at 55% of his salary, and he has been granted a Partnership Equity Program (“PEP”) award in the amount of $50,000. Pursuant to the PEP award, Mr. Denton purchased 1,242 shares of CVS Caremark stock, was granted 1,242 CVS Caremark matching restricted stock units vesting on the fifth anniversary of the grant date, and received a grant of 12,420 options to purchase CVS Caremark common stock, vesting 1/3 on each of the third, fourth and fifth anniversaries of the grant date.

Mr. Denton, age 42, served as Senior Vice President, Financial Administration of CVS Caremark Corporation and CVS Pharmacy, Inc. from April 13, 2007 until March 5, 2008; Senior Vice President, Finance and Controller of PharmaCare Management Services, Inc., one of the Company’s pharmacy benefits management subsidiaries, from October 2005 through April 12, 2007; and Vice President of CVS Pharmacy, Inc. from February 2002 through October 2005. He has been an employee of subsidiaries of the Company since July 1999. Mr. Denton holds a B.S. in Business Administration from Kansas State University and an MBA from Wake Forest University. He is a certified public accountant.

Also on March 5, 2008, Paula A. Price, formerly Senior Vice President, Controller and Chief Accounting Officer of CVS Caremark, took a different position with the Company, as CVS Caremark’s Senior Vice President – Financial Administration (the title formerly held by Mr. Denton).

KPMG LLP (“KPMG”) was previously the principal accountants for CVS Caremark Corporation (the “Company”). On September 26, 2007, KPMG was dismissed as the Company’s principal accountants.

The decision to change accountants was made by the Audit Committee of the Board of Directors of the Company at a meeting held on September 25, 2007 and followed the Audit Committee’s review, as part of its corporate governance practices, of the Company’s independent registered public accounting firm.

During the fifty-two week periods ended December 30, 2006 and December 31, 2005, and the subsequent interim period through September 26, 2007, there were no: (1) disagreements with KPMG on any matter of accounting principle or practice, financial statement disclosure, or auditing scope or procedure that, if not resolved to KPMG’s satisfaction, would have caused it to make reference in connection with their opinion to the subject matter of the disagreement, or (2) reportable events as defined in Item 304(a)(1)(v) of Regulation S-K.

The audit reports of KPMG on the Company’s consolidated financial statements as of and for the fifty-two week periods ended December 30, 2006 and December 31, 2005 did not contain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting principles, except as follows: KPMG’s report on the consolidated financial statements of the Company as of and for the fifty-two week periods ended December 30, 2006 and December 31, 2005 contained a separate paragraph stating that “As discussed in Note 1 to the consolidated financial statements, CVS Corporation adopted the provisions of Statement of Financial Accounting Standards No. 123 (revised 2004), “Share-Based Payment”, effective January 1, 2006.”

The audit reports of KPMG on management’s assessment of the effectiveness of internal control over financial reporting and the effectiveness of internal control over financial reporting as of December 30, 2006 and December 31, 2005 did not contain an adverse opinion or disclaimer of opinion, nor were they modified or qualified as to uncertainty, audit scope, or accounting principles.

The Company furnished a copy of the above disclosures to KPMG and requested that KPMG provide a letter addressed to the Commission stating whether or not it agrees with the statements made above. A copy of KPMG’s letter is attached as Exhibit 16.1 to this Form 8-K.

(b) New Independent Registered Public Accounting Firm

At the same meeting, the Audit Committee determined to engage Ernst & Young LLP (“Ernst & Young”) as the Company’s independent registered public accounting firm commencing with audit services for the fiscal quarter ending September 29, 2007.

Ernst & Young served as the independent registered public accounting firm for Caremark Rx, Inc. (“Caremark”) prior to Caremark’s merger with the Company in March 2007. Other than with respect to Ernst & Young’s role as independent registered public accounting firm for Caremark in the case of clause (i) below, during the fifty-two week periods ended December 30, 2006 and December 31, 2005, and the subsequent interim period through September 26, 2007, neither the Company, nor anyone on its behalf, consulted with Ernst & Young with respect to either (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s consolidated financial statements, and no written report or oral advice was provided by Ernst & Young to the Company that Ernst & Young concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing, or financial reporting issue or (ii) any matter that was the subject of either a disagreement as defined in Item 304(a)(1)(iv) of Regulation S-K or a reportable event as described in Item 304(a)(1)(v) of Regulation S-K.

As previously disclosed, in May 2006, the Securities and Exchange Commission commenced an informal inquiry into the stock option granting practices and relocation program of Caremark Rx, Inc. (“Caremark”). The Company has been apprised by the Securities and Exchange Commission that the investigation has been completed and that the Commission has determined not to recommend any enforcement action against Caremark.

Also, as previously disclosed in May 2006, Caremark received a document subpoena from the United States Attorney’s Office for the Southern District of New York requesting information relating to Caremark’s stock option granting practices. Caremark has been informed by the United States Attorney’s Office that it is closing this investigation without any action being taken against Caremark.
