TRUSTEES

Section 7.1

Number of Trustees.

The Trustees shall consist of not less than three and no more than eleven Trustees, with the number of Trustees from time to time within such range being fixed by resolution of the Trustees; provided that until otherwise so determined by resolution, the number of Trustees shall be seven. At least a majority of the Trustees must be Resident Canadians and, except while a vacancy in office exists and is to be filled, must be Unrelated Trustees. So long as the Administrative Agreement is in effect, the Administrator’s right to nominate two of the Trustees to be elected at any meeting of Unitholders is hereby confirmed.
