Item 5.03 Amendments to Articles of Incorporation or Bylaws.

 

Effective June 8, 2007, the Board of Directors of Chesapeake Energy Corporation (the “Company”) approved an amendment to the Company’s Bylaws. The purpose of the amendment was to update the “Stock Certificates” section to specifically allow for direct registration of common stock shares. A copy of the Amended and Restated Bylaws is attached hereto as Exhibit 3.1.
