Item 1.01 Entry Into a Material Definitive Agreement On February 22, 2006, City Holding Company’s (the “Company”) Board of Directors approved the base salaries of the Company’s president and chief executive officer and certain of the individuals expected to be named in the Company’s proxy statement for its 2006 annual meeting of shareholders as its four highest paid executive officers other than the chief executive officer (together with the chief executive officer, the “Named Executive Officers”). Also, the Company’s Board of Directors approved cash bonus awards to be paid to the Named Executive Officers for the calendar year ended December 31, 2005. The table below sets forth the amounts of these base salaries and cash bonus awards.
The Company intends to provide additional information regarding the compensation awarded to Named Executive Officers in respect of and during the year ended December 31, 2005, in the proxy statement for the Company’s annual meeting of shareholders, which is expected to be filed with the Securities and Exchange Commission in March 2006.
