11.1 Further Assurances. After the Closing Date, Seller shall from time to time at Buyers reasonable request execute and deliver, or cause to be executed and delivered, such further instruments of conveyance, assignment and transfer or other documents, and perform such further acts and obtain such further consents, approvals and authorizations, as Buyer may reasonably require in order to fully effect the conveyance and transfer to Buyer of, or perfect Buyers right, title and interest in, any of the Assets, consistent with the provisions of this Agreement, or to assist Buyer in obtaining possession of any of the Assets, or to otherwise comply with the provisions of this Agreement and consummate the transactions contemplated by this Agreement and the Transaction Documents, including without limitation, beginning on the date hereof, assistance in obtaining any Permits necessary in connection with the operation of the Business.
11.2 Books and Records. On the Closing Date, Seller shall deliver to Buyer (a) all of the technical information and data and other intellectual property rights to be transferred hereunder (including all of the assets referenced in Section 2.1(d)) which have been reduced to writing, (b) all of the original Contracts referenced in Section 5.12 to be delivered by Seller at Closing, (c) all of the books and records referenced in Section 2.1(j), and (d) all of Sellers information and materials referenced in Section 2.1(i).
