Officer’s Certificate” means a written certificate containing the information specified in Section 12.04 and Section 12.05, signed in the name of the Company by any Officer, and delivered to the Trustee.  An Officer’s Certificate given pursuant to Section 4.03 shall be signed by the principal executive officer, principal financial officer or principal accounting officer of the Company, but need not contain the information specified in Section 12.04 and Section 12.05.
