On September 28, 2017, Conagra Brands, Inc. (the Company) issued a press release which contained information on the Companys first quarter fiscal 2018 financial results. The press release is furnished with this Current Report on Form 8-K as Exhibit 99.1.

On September 22, 2017, the Company held its 2017 Annual Meeting of Stockholders (the Meeting). The final voting results for the matters brought before the Meeting are set forth below.
The Companys stockholders elected, for a one-year term, the following nominees for election to the Board of Directors. For each nominee, the votes cast for, the votes withheld and broker non-votes were as follows:
The Companys stockholders ratified the appointment of KPMG LLP, an independent registered public accounting firm, as the independent auditor of the Company for fiscal 2018. The votes cast for and against this proposal, as well as the abstentions were as follows:
The Companys stockholders approved, on an advisory basis, a resolution approving the Companys named executive officer compensation. The votes cast for and against this proposal, as well as the abstentions and broker non-votes, were as follows:
The Companys stockholders recommended that future advisory votes on the Companys named executive officer compensation be held on an annual basis. The votes cast for each option, as well as abstentions, were as follows:
Consistent with the recommendation of stockholders, the Company has determined that it will hold future advisory votes on named executive officer compensation on an annual basis until the next stockholder vote on the frequency of future advisory votes on named executive officer compensation.
