2006 Annual Meeting of Shareholders

Constellation Energy's 2006 annual meeting of shareholders has been delayed by more than 30 days from the date of the 2005 annual meeting as we currently intend to coordinate our annual meeting with approval of proposals related to our merger with FPL Group. Notice of the date of the 2006 annual meeting will be publicly announced by Constellation Energy once it is established. Any shareholder who wants to include a proposal in the proxy statement for the 2006 annual meeting, or to propose a nominee for election as a director, or to present a proposal at the 2006 annual meeting must deliver such proposal, in writing, such that Constellation Energy receives it no later than the 10th day following the day on which public announcement of the date of the 2006 annual meeting is made.
