Third Quarter 2009 Results of Operations. Item 8.01 Other Events. On October 19, 2009, the Irish High Court approved the reduction of share premium (similar to additional paid-in capital) to establish distributable reserves on the unconsolidated balance sheet for the Company. The establishment of distributable reserves was required to enable the Company to pay dividends and buy back shares in the future. Item 9.01 Financial Statements and Exhibits. 99.1 Company press release dated October 22, 2009 titled, "Cooper Industries Reports Third Quarter Earnings from Continuing Operations of $.70 Per Share, Excluding Unusual Items; Record Nine Month Free Cash Flow."
