Cott Prices Offer of $215.0 Million of Senior Notes

TORONTO and TAMPA, FL -- (Marketwire) -- 11/03/09 -- Cott Corporation (NYSE: COT) (TSX: BCB) announced today that its wholly owned subsidiary, Cott Beverages Inc. ("Cott Beverages"), priced a private placement offering of $215 million in aggregate principal amount of senior notes (the "New Notes"). The New Notes will mature on November 15, 2017 and interest on the New Notes will accrue and be payable semi-annually in arrears commencing May 15, 2010 at the rate of 8.375% per annum. The New Notes will yield gross proceeds to Cott Beverages of approximately $212 million.

Cott Beverages expects to use the net proceeds from the offering to fund the previously announced tender offer for, or redeem, its 8.0% Senior Subordinated Notes due 2011.

The settlement of the New Notes is expected to occur on November 13, 2009 and is subject to customary closing conditions.
