Governing Law. THIS PLAN SHALL BE GOVERNED BY THE LAWS OF THE STATE OF MARYLAND TO THE EXTENT NOT PREEMPTED BY APPLICABLE FEDERAL LAW. The laws of Maryland shall apply without giving effect to any choice or conflict of law provision or rule. In the event any provision of the Plan shall be held illegal or invalid for any reason, the illegality or invalidity shall not affect the remaining parts of the Plan, and the Plan shall be construed and enforced as if the illegal or invalid provision had not been included.

10.8 Governing Law

The provisions of the Plan shall be construed and interpreted according to the laws of the State of Maryland.
