Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 24, 2012 Michael Parks notified E*TRADE Financial Corporation (the “Company”) that he will not stand for re-election to the Company’s Board of Directors when his term expires at the Company’s 2012 annual meeting of stockholders. Mr. Parks stated that the time required by his position as the CEO of Crescent Capital Finance Group, Inc. and his duties as Vice Chairman of an electric utility will preclude his continuing participation on the Company’s Board.
