        Supply Agreement with ECI

        In February 2004, we executed a supply agreement with ECI, which replaced an earlier supply agreement entered into in October 1999. Under the terms of such supply agreement, ECI supplies us with the components (so-called “modules”) for use in our products. We agreed on the prices for these modules after negotiations with ECI. In accordance with its right under the Supply Agreement, ECI stopped manufacturing some of these components as of August 2006. Accordingly, we contracted with an alternate supplier for the manufacture of these components.
