The purpose of the Audit Committee (the “Committee”) of the Board of Trustees of Equity Residential (the “Company”), through regular or special meetings with management, the internal auditors and the Company’s independent auditors, shall be to assist Board oversight of: (1) the integrity of the financial statements of the Company, (2) the Company’s compliance with legal and regulatory requirements, (3) the independent auditors’ qualifications and independence and (4) the performance of the Company’s internal audit function and independent auditors. In doing so, the Committee will contribute to maintaining open communication among the trustees, the independent auditors, the internal auditors, and the senior financial management of the Company. The Committee shall also review and approve the Audit Committee Report to shareholders, which is prepared by management, as required by the rules of the Securities and Exchange Commission to be included in the Company’s annual proxy statement. |
