On August 26, 2009 the Board of Directors of ESSA Bancorp, Inc. (the “Company”) announced that the Company would make a payment of a quarterly cash dividend of $0.05 per share of common stock. This dividend shall be paid to stockholders of record as of September 16, 2009, payable on September 30, 2009.

A copy of the press releases announcing this item is attached as Exhibit 99.1. The information in the preceding paragraph, as well as Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933.
