Special Meetings: Special meetings of the Board
of Directors may be called by the Chairman of the Board or by the President of
the Corporation and shall be called by the Secretary on the written request of
not less than a majority of the directors then in office. Notice specifying the
time and place of special meetings shall be given to each director at least one
day before the date of the meeting, either personally or by telephone, mail,
telegram or, with consent of the director, electronic transmission.
