ExpressJet Holdings, Inc., (XJT), along with its subsidiaries, XJT Holdings, Inc. and ExpressJet Airlines, Inc., operates one of the major regional airlines in the U.S. With a fleet of 274 Embraer jets (as of yearend 2006), XJT provides transportation of passengers, cargo and mail. The company operates scheduled passenger flights to approximately 152 cities in 40 U.S. states, the District of Columbia, Mexico, Canada, and the Caribbean. It provides regional airline services as Continental Express for Continental Airlines, Inc. (CAL or Continental) at its hub airports in Newark, NJ Houston, TX and Cleveland, OH. ExpressJet generates revenue on a fixed-fee per block hour basis by providing complementary services to CAL in smaller cities that cannot accommodate larger jets at their airports. The company's consistent focus on operational efficiency, coupled with superior customer service, has established XJT as one of the leading players in the field.

However, the company was thrown into turmoil when on December 28, 2005, Continental Airlines announced its intention to reduce by 69 the number of aircraft ExpressJet could operate for Continental under the companies' capacity purchase agreement (CPA). On April 18, 2006, Continental Airlines announced that it had awarded Chautauqua Airlines, a subsidiary of Republic Airways Holdings Inc., the contract to operate 69 jets previously operated by XJT, in an attempt to reduce operating costs. On May 5, 2006, XJT announced that it would retain the 69 aircraft released by CAL, and operate the aircraft for another airline outside of Continental's hubs.

XJT has since firmed up its plans for those 69 aircraft, representing about 25% of XJT's fleet. Nine of the aircraft are operating charter flights in XJT's Corporate Aviation division. XJT used 42 aircraft to launch branded service in 24 cities in the West, Midwest and Southeast United States that began in April and May 2007. Eighteen of the aircraft are operating under agreements with Delta Air Lines, Inc. (or Delta).

As to XJT's new arrangement with Delta, ExpressJet entered into a two-year capacity purchase agreement (CPA) with Delta that covers 10 ERJ-145XR aircraft that were placed into service at the Los Angeles International Airport (LAX) during June 2007. ExpressJet operates, maintains and finances the aircraft, while Delta is responsible for scheduling, marketing, pricing and revenue management on the aircraft and will collect all passenger revenues. In addition, ExpressJet negotiated a definitive agreement under which it operates an additional eight aircraft at LAX on behalf of Delta beginning July 1, 2007 under a pro-rate arrangement. ExpressJet is responsible for local market pricing and revenue management and the operation and maintenance of the aircraft, but shares responsibility for the schedule and marketing with Delta. ExpressJet expects to earn a pro-rated portion of the fare plus an incentive for passengers connecting onto Delta's network.

The company now divides its operations into three segments: (1) contract flying, which includes 205 aircraft under the Continental CPA, 10 aircraft under the Delta CPA, and 9 aircraft under dedicated charter contracts (2) branded flying, which includes 42 planes flying under XJT's banner and 8 aircraft under a pro-rate revenue agreement with Delta and (3) aviation services, such as ground-handling aircraft repair, overhaul, interior refurbishments, and painting.
