Item 1.01 Entry into a Material Definitive Agreement
On April 30, 2012, Eagle Bancorp, Inc. (the Company) entered into a Sales Agency Agreement (the Agreement) with Sandler ONeill + Partners, L.P. (Sandler ONeill), pursuant to which the Company may, from time to time, sell newly issued shares of its common stock, $0.01 par value per share (the Common Stock), having an aggregate sales price of up to $35,000,000, in a discretionary equity sales program conducted through Sandler ONeill as the Companys sales agent.
Sales of shares of Common Stock pursuant to the Agreement, if any, will be made by means of ordinary brokers transactions on the NASDAQ Capital Market at market prices prevailing at the time of the sale, at prices related to the prevailing market prices, or at negotiated prices. The Company also may sell shares of its common stock to Sandler ONeill, as principal for its own account, at a price agreed upon at the time of sale. If the Company sells shares of Common Stock to Sandler ONeill as principal or other than in accordance with the Agreement, the Company will enter into a separate terms agreement with Sandler ONeill.
The Agreement contains customary representations, warranties and covenants between the parties as of the date of entering into such Agreement. These representations, warranties and covenants, are not representations of factual information to investors about the Company or its subsidiaries, and the sale of any shares of Common Stock pursuant to the Agreement is not a representation that there has not been any change in the condition of the Company. A copy of the Agreement is attached as Exhibit 99.1 to this Current Report on Form 8-K, and is incorporated herein by reference. The description of the material terms of the Agreement and the transactions contemplated thereby is qualified in its entirety by reference to such exhibit.
Shares of Common Stock sold pursuant to the Agreement will be issued pursuant to a prospectus supplement (the Prospectus Supplement), filed with the Securities and Exchange Commission (the Commission) on April 30, 2012, to the prospectus (the Prospectus) filed with the Commission as part of the Companys Registration Statement on Form S-3 declared effective by the Commission on August 7, 2009 (File No. 333-160956) (the Registration Statement). Prospective investors should read the Prospectus Supplement, the Prospectus and all documents incorporated by reference therein.
