Schedule is a correct and complete list including policy numbers, carriers,
amounts of coverage and expiration dates, of all insurance policies with
respect to liability, property, workers’ compensation, directors’ and officers’
liability of the Company, correct and complete copies of which policies have
been made available for to Buyer in the Data Room. To the Knowledge of the Company, such
policies are valid, binding and in full force and effect, and it is not in
default thereunder. Schedule 5.15
of the Disclosure Schedule also contains a list of all pending claims filed by
the Company with any insurance company and any instances within the previous
five (5) years of a denial of coverage of the Company by any insurance
company.
