5.02 Departure of Directors or Principal Officers; Election of
Directors; Appointment of Principal Officers.
On January 22, 2008, the Company fixed the number of directors of the
Company at ten and elected Edward C. Grady as a Class II director of the
Company, to serve until the next annual meeting of shareholders and
until his successor is elected and qualified. The Company awarded Mr.
Grady 9,800 restricted stock units, which award will vest in equal
annual installments over the next four years, based on Mr. Grady’s
continued service as a director of the Company. The Company did not name
Mr. Grady to any committees of the board of directors.
Mr. Grady was previously a director of New Wave Research, Incorporated
("NWR"). The Company acquired NWR on July 20, 2007 for approximately
$36.2 million. The dollar value of Mr. Grady’s interest in the

On December 6, 2005, the board of directors of Electro Scientific Industries, Inc. (the Company) appointed Kerry Mustoe as the Companys Interim Chief Financial Officer effective December 7, 2005. Prior to being named Interim Chief Financial Officer, Ms. Mustoe had served as the Companys Corporate Controller and Chief Accounting Officer since September 2, 2003, and she will continue to serve in those capacities in addition to serving as Interim Chief Financial Officer. During the time that Ms. Mustoe is Interim Chief Financial Officer, she will serve as both the Companys principal financial officer and principal accounting officer.
Prior to joining the Company, Ms. Mustoe, age 49, held director of accounting and finance positions at other high technology firms located in Portland, Oregon, including at FEI Company, a provider of products and systems used to manufacture very small objects in the nanotechnology industry in 2003, Oresis Communications, a provider of switching products for the telecommunication industry, from 2001 through 2002, and RadiSys Corporation, a provider of communications systems components, from 1999 to 2001. Prior to that, Ms. Mustoe was accounting director at Sequent Computer Systems, a manufacturer and provider of information technology solutions, and an auditing manager and certified public accountant with Price Waterhouse Coopers in Portland, Oregon.
The Company is conducting an external search to identify potential candidates for the position of Chief Financial Officer of the Company.
