Compensation Committee and Compensation Committee Interlocks and Insider Participation We have a Compensation Committee of the Board of Directors. The Compensation Committee assists the Board in establishing and overseeing Director and executive officer compensation policies and practices of Empire on behalf of the Board. The Compensation Committee determines the compensation of each of our executive officers as more fully described under "Executive CompensationCompensation Discussion and Analysis." In limited circumstances, also as more fully described under "Executive CompensationCompensation Discussion and Analysis," our Chief Executive Officer makes recommendations to the Compensation Committee with respect to certain aspects of executive compensation. The charter for the Compensation Committee is available on our website at www.empiredistrict.com. The Compensation Committee held four meetings during 2008. The members of our Compensation Committee are Mrs. Posner and Messrs. Allen, Helton, Leon and Laney. The Board has determined that each member of the Compensation Committee is "independent" as defined by the NYSE Listing Standards. Mrs. Posner will retire from the Board and the Compensation Committee effective April 23, 2009. None of the members of our Compensation Committee has ever been an officer or employee of Empire or any of its subsidiaries.
