ITEM 2.02. Results of Operations and Financial Condition
On April 28, 2005, Exar held a conference call regarding its results for the quarter and fiscal year ended March 31, 2005 and certain other information. A copy of the transcript of the conference call is attached hereto as Exhibit 99.1 and the information set forth therein is hereby incorporated by reference into this Item 2.02.

The transcript contains a non-GAAP presentation of the Companys projection of EPS (diluted) for the fiscal quarter ending June 30, 2005, which excludes any effects of amortization of intangible assets in connection with recently acquired products (which amount will be determined upon the completion of a valuation of those acquired products). Non-GAAP financial measures should not be considered as a substitute for, or superior to, measures of financial performance prepared in accordance with GAAP. Exars management believes that the presentation of the non-GAAP financial measure provides useful information to investors because management believes that the Companys projection of EPS is valuable to investors and the non-GAAP measure reflects the Companys current projection of EPS absent the valuation of the acquired products.
