or other nominee holder of rights (the “Rights”) to
purchase shares of common stock (“Common Stock”) of
Exide Technologies (“Exide”) pursuant to the Rights
Offering described and provided for in the Exide prospectus
supplement dated August 31, 2007 (the
“Prospectus”), hereby certifies to Exide, American
Stock Trustee & Trust Company, as subscription
agent for the Rights Offering, and to Georgeson Inc. as
information agent for the Rights Offering, that (1) the
undersigned has exercised, on behalf of the beneficial owners
