Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 10, 2008, James J. Casey, a director of Expeditors International of Washington, Inc. (the Company) since 1984, announced to the Company his intention to retire as such at the end of his current one year term ending at the Companys 2009 Annual Meeting of Shareholders (the Annual Meeting) next May, and that he does not intend to stand for re-election at the Annual Meeting. His decision not to stand for re-election was not due to a disagreement with the Company on any matter relating to the Company's operations, policies or practices. Mr. Casey shall remain in office through the date of the Annual Meeting or until his successor is duly elected and qualified. A press release dated June 13, 2008 is attached hereto as Exhibit 99.1.
