ITEM 8.01. OTHER EVENTS

On November 23, 2005, the Court of Chancery of the State of Delaware in and for New Castle County approved the Amended and Supplemental Stipulation of Settlement of The Fairchild Corporation Stockholder Derivative Litigation, as set forth in the Notice of Hearing mailed by the Corporation to its shareholders on October 24, 2005.
