Administration. The 2007 Plan will be administered by the Compensation Committees of the Company and Finlay Jewelry. The Compensation Committees may grant any of the following: (i) stock options; (ii) restricted or nonrestricted stock awards, including purchases and awards under the Deferred Compensation Plans, subject to such terms and conditions as the Companys Compensation Committee shall determine; (iii) performance shares which are based upon attainment of performance goals during a period of not less than one nor more than five years and which are settled only in common stock; or (vi) any combination of the foregoing. The Companys Compensation Committee will determine, among other things, the participants in the 2007 Plan, the amounts to be awarded to each participant under the 2007 Plan and the form, manner of payment, exercise price, conditions, time and terms of payments under the 2007 Plan.
